Term sheets, investment agreements, due diligence on the company and investor side, round structure, founder vesting, investor exit and M&A transactions.
The client’s problem
„We’re closing a round or selling the company — and I don’t know whether the wording in the documents will surprise me two years from now.”
An investment round is the moment when a founder has the least time and the most to lose. The fund arrives with a ready term sheet, time pressure and a team of lawyers on its side. You usually have none.
Our role is to even out that asymmetry. We translate every clause into the language of decisions: what it means in practice, what happens at the next round, and what happens at exit. We negotiate what can be negotiated and say plainly what isn’t worth defending.
We guide the company along the whole path — from the first SAFE or convertible loan, through later rounds, to an exit to a strategic or financial investor.

How we work
Steps you know upfront.
01
Diagnosis
We read the documents and your context. We say where the real risks are and where it’s just noise.
02
Strategy
We decide what to defend and what to let go. Always in terms of your goals, not our convenience.
03
Negotiation
We talk to the other side. You make the decisions — we give you the full picture.
04
Closing
We finalise the documentation, watch the conditions precedent and the deadlines.
